Governing law
These Terms and any non-contractual obligations arising from them shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. The application of the United Nations Convention on Contracts for the International Sale of Goods (CISG) is expressly excluded.
Dispute resolution — negotiation
In the event of any dispute, controversy, or claim arising out of or relating to these Terms or your use of the Website (a "Dispute"), the parties shall first attempt to resolve the Dispute through good-faith negotiations. The party initiating the Dispute shall provide written notice to the other party describing the Dispute in reasonable detail. Both parties shall then meet (in person or by electronic means) within 21 days of the notice to attempt to resolve the Dispute informally. If the Dispute cannot be resolved within 30 days of the initial notice, either party may proceed to arbitration as set out below.
Arbitration
Any Dispute not resolved through informal negotiation shall be finally settled by arbitration administered by the London Court of International Arbitration (LCIA) in accordance with its Arbitration Rules, which are deemed to be incorporated by reference into this clause. The seat or legal place of arbitration shall be London, England. The tribunal shall consist of a single arbitrator appointed by the LCIA. The language of the arbitration shall be English. The award of the arbitrator shall be final and binding on the parties, and judgment upon the award may be entered in any court having jurisdiction thereof.
Class action waiver
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND ELLINGTON AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. IF FOR ANY REASON A DISPUTE PROCEEDS IN COURT RATHER THAN ARBITRATION, YOU AND ELLINGTON EACH WAIVE ANY RIGHT TO A JURY TRIAL.
